GOLF DEL SUR MEMBERS’ SATURDAY CLUB

RULES OF THE CLUB  (VERSION 11)

 

Preamble

During the Golf del Sur Members’ Saturday Club Annual General Meeting held on 26th February 2001, as detailed in the minutes of the said meeting, it was unanimously agreed that the duly elected Captain and Committee should prepare draft rules governing membership of the said ‘Club’ and that such ‘Rules’ would be adopted or otherwise by the ‘Members’ by means of a majority vote at a subsequent Extraordinary General Meeting.

These Rules will be updated as necessary, subject to approval at an ‘AGM’ or ‘EGM’.

The ‘Rules’ were modified in accordance with the resolution adopted at the ‘Clubs’ ‘AGM’ held on 21.02.14 as detailed in the AGM minutes.

 Definitions

 Within these ‘Rules’ the following expressions shall have the following meaning;-

‘AGM’ means the Annual General Meeting as provided in clause 7a.

‘Alteration of the Rules’ means any alteration of these ‘Rules’ of the ‘Club’ as provided for in clause 3d.

‘Annual Membership Fee’ means the annual charge for ‘Members’ as provided for in clause 6a.

‘Balloting’ means the ballot held under the direction of the Captain and secretary as provided for in Clause 10.

‘Captains’ Year’ means the year as provided for in clause 13biii.

‘Charitable donations’ means the donations to any charitable organisation or body as defined by the ‘Committee’.

‘Club’ means Golf del Sur Members’ Saturday Club.

‘Club Year’ means every twelve months from the ‘AGM’ until the following ‘AGM’.

‘Committee’ means the ‘Committee’ as provided for in clause 13.

‘Disqualification’ means a ‘Members’ permanent or temporary ‘Disqualification’ of membership as provided for in clauses 3c and 11e.

‘EGM’ means Extraordinary General Meeting as provided for in clause 7b.

‘Fees’ means competition or other entrance fees as approved by ‘General Meeting’ or the ‘Committee’ as provided for in clause 7.

‘General Meeting’ means meetings provided for in clause 7 that are open to all ‘Members’.  The ‘AGM’, ‘EGM’ or an emergency ‘EGM’. For the avoidance of doubt, a Committee Meeting is not a ‘General Meeting’.

‘Golf del Sur’ means the company – Golf del Sur SA or its successors.

‘Good standing’ means ‘Members’ who are current in the payment of their ‘Annual Membership Fees’, up to date with any other charges which are properly due and payable as prescribed by the ‘Committee’ from time to time, and eligible under these ‘Rules’

‘Governing Body’ The ‘Club’ will be governed by ‘General Meeting’ as provided for in clause 4a.

‘Handicaps’ means the control of ‘Handicaps’ as provided for in clause 12.

‘Junior Member’ means ‘Members’ who are under the age of 16 years.

‘Local Rules’ means the ‘Local Rules’ of golf that apply during competitions organised by the ‘Club’ provided for in clause 14.

‘Members’ means ‘Members’ of the ‘Club’ who are in ‘Good Standing’ in accordance with these ‘Rules’.

‘Presentations’ means the awarding of prizes and matters brought to the attention of ‘Members’ as provided for in clause 11d.

‘Purpose’ means the ‘Purpose’ of the ‘Club’ as provided for in clause 1.

‘Register’ means the ‘Register’ of ‘Members’ as provided for in clause 2.

‘Rules’ means the ‘Rules’ governing membership of the ‘Golf del Sur Members’ Saturday Club’ as provided for in clause 3.

‘Spanish Federation’ means the Real Federation Espanola de Golf, or its successors.

‘Visitor’ means a person who is not a ‘Member’ of the ‘Club’.

‘Voting’ means the ‘Members’ right to vote at ‘General Meetings’ as provided for in clause 8.

 

1.  Purpose

The ‘Purpose’ of the ‘Club’ is the association of ‘Members’ who wish to play golf under the auspices of the ‘Club’.

2.  Register

A ‘Register’ of ‘Members’ will be held by the duly elected Club Secretary and can be inspected by a ‘Member’ upon request.

3.  Rules

a) On becoming a ‘Member’ a copy of the ‘ Rules’ shall be provided via the website www.golfdelsurmembers.co.uk or as requested. Changes made at an ‘General Meeting’ will also be posted on the website and/or the club house notice board.

b) Each ‘Member’ or ‘Junior Member’, upon receipt of the documents, inter alia, accepts that they are bound to honour the ‘Rules’ in all circumstances. Failure to do so may lead to forfeiture of membership as directed by the ‘Committee’.

c) Any ‘Member’ wilfully breaking the ‘Rules’ may face a temporary or permanent ‘Disqualification’ and as such a ‘Disqualification’ may be imposed at the sole discretion of the ‘Committee’. For the avoidance of doubt, this includes perpetration of an act of detriment of another ‘Members’ image or honour, which causes serious harm to the ‘Club’.

d) The ‘General Meeting’ may only alter the ‘Rules’ after proposed resolutions have been adopted in accordance with clause 7.

4.  The ‘Club’

a) The ‘Club’ will be governed by ‘General Meeting’ see clause 7.

b) The ‘Club’ is established in perpetuity.

c) The ‘Club’ will not be registered as a business or otherwise, unless legally obliged to do so. The ‘Club’ will be a non-profit making organisation, but generally and from time to time, will make ‘Charitable donations’ under the direction of the duly elected ‘Committee’. The Captain and Treasurer will report such donations to the ‘Members’ specifically at the ‘Clubs’ ‘AGM’, but also from time to time.

5.  Applications for membership.

Applications for membership are unrestricted, but the ‘Committee’, at its discretion may limit membership at any time. In this event, any new applicant must be proposed by a ‘Member’ and seconded by a ‘Committee’ member.

6.  Fees.

a)  The ‘Committee’ at a ‘General Meeting’, which will be ratified by ‘Members’, will propose the ‘Annual Membership Fee’.

b)  ‘Junior Members’ are not required to pay the ‘Annual Membership Fee’.

c)  ‘Annual Membership Fees’ will primarily be used to fund the Club Championship and other major competitions held throughout the ‘Club Year’, but may be used for other purposes at the discretion of the ‘Committee’.

d)  Competition entrance fees for ‘Members’ and ‘Visitors’ will be determined by the ‘Committee’ and may vary slightly, depending upon the prizes on offer.

e)  Under the direction of the ‘Committee’ other fees of a nominal nature may be charged from time to time as required. However, ‘General Meeting’ must approve substantial charges.

f)  In general terms, after deduction of costs, 75% of the entrance fees are returned in prizes and 25% is donated to charity. Ultimately this division, plus the provision of reserves, is entirely at the discretion of the ‘Committee’.

7.  General Meetings

a) The ‘AGM’ will normally be held in February.  The agenda and venue will be circulated to ‘Members’ at least one month in advance. For this purpose the agenda will be posted on the club house notice board and the website.

b) An ‘EGM’ may be called by not less than 10% of ‘Members’ by signifying their intention in writing to all ‘Members’. Such ‘Members’ who wish to call an ‘EGM’ must circulate this intention to all other ‘Members’ at least 4 weeks prior to the proposed date of said meeting.

c) The ‘Committee’ may call an emergency ‘EGM’ at any time, providing they give 7 days notice to ‘Members’ by posting a notice to this effect on the notice board, outside the clubhouse and on the website.

d) ‘General Meetings’ properly notified shall be deemed validly constituted irrespective of the number of ‘Members’ attending.

e) Resolutions for inclusion on the agenda of the ‘AGM’ must be proposed and seconded by ‘Members’. Such resolutions must be forwarded to the Club Secretary a minimum of 4 weeks prior to the date of the ‘AGM’ and the Club Secretary will acknowledge receipt.

f) Resolutions for inclusion on the agenda of an ‘EGM’ must be proposed and seconded by ‘Members’. Such resolutions must be forwarded to the Club Secretary a minimum of 4 weeks prior to the date of the ‘EGM’ and the Club Secretary will acknowledge receipt.

g) The ‘Committee’ will decide the agenda order of resolutions.

h) The resolutions adopted by the ‘General Meeting’ shall be recorded by minutes and circulated via the website prior to the next meeting. The minutes will be offered for approval to the ‘General Meeting’ and once approved, will be signed as a true record by the Captain and Club Secretary.  The Club Secretary will hold them in safe custody.

i) ‘Members’ unless, absent from Tenerife will be expected to attend ‘General Meetings’.

8.  Voting

a) All ‘Members’ in ‘ Good Standing’ will be entitled to vote at ‘General Meetings’ by being present or by proxy.

b)  Resolutions shall be adopted by a majority of votes from those present, or by valid proxies. Proxies have to be registered with the presiding officer before the start of any ‘General Meeting’ and may only be held by a ‘Member’ in ‘Good Standing’.

c)  For the avoidance of doubt, ‘Junior Members’ are not allowed to vote at any ‘General Meeting’.

9.  Junior members

‘Junior Members’ who have been proposed by the Captain or a ‘Committee’ member, and seconded by a ‘Committee’ member, will remain such until 16 years of age, when they become eligible for full membership.

10.   Balloting

‘Members’ will take priority in the unlikely event that insufficient tee times are available to satisfy the full list of entrants for the ‘Club’ competitions.  In the unlikely event that there are still insufficient tee times available, all ‘Members’ will automatically enter a ballot, held under the direction of the Captain and/or Handicap Secretary, who will take account of those ‘Members’ who frequently play in ‘Club’ competitions.  Balloting out of any ‘Members’ will work on a rotational basis.

‘Members’ will take precedence over ‘Junior Members’ and ‘Visitors’.  ‘Junior Members’ will take precedence over ‘Visitors’ but this may be overruled from time to time, by the Captain, or in his absence, by joint decision of the Vice Captain, Handicap Secretary and Club Secretary.

11.  Competitions.

a) A ‘Visitor’ may apply to enter ‘Club’ competitions to the satisfaction of the Handicap Secretary.  ‘Members’ will take priority in the event of a shortage of tee times. For the avoidance of doubt, ‘Visitors’ are not allowed to play in the Club Championship or Captain’s Day.

b) The ‘Club’ decline all responsibility for accidents suffered by ‘Members’ or ‘Visitors’ during ‘Club’ competitions.

c) The ‘Club’ is not responsible for any competitions other than those officially sponsored by the ‘Club’.

d)  ‘Members’ who play in ‘Club’ competitions will be expected to attend ‘Presentations’.

e) At the discretion of the ‘Committee’, ‘Members’ and ‘Visitors’ may face a 2 week ‘Disqualification’ from competitions should they enter a competition and fail to turn up on the day at the allocated tee time, that is unless they have properly notified either to Handicap Secretary or Club Secretary of their intention to scratch from the competition.

f) Any ‘Member’ or ‘Visitor’ who, without just cause, leaves the course during competition may be suspended from play for one week at the discretion of the Committee.

g) ‘Members’ who have played a minimum of six competitions during the year are entitled to play in the Club Championship and Captain’s Day.

h)  Prize distribution in all competitions is in two divisions.  These divisions are based on the ‘Members’ playing ‘Handicap’.

12.  Handicaps

a) ‘Members’ ‘Handicaps’ will be controlled by the Handicap Secretary and in accordance with the rules of the CONGU handicapping system.

b) Entry into the ‘Club’ competitions will be governed by the following handicap requirements:

i) ‘Visitors’ will be requested to provide a current handicap certificate from their club. Handicaps for regular ‘Visitors’ may be adjusted downwards at the discretion of the handicap committee.

ii) ‘Members’ will be required to hold a handicap certificate, issued by Golf del Sur Members’ Saturday Club.

iii) ‘Members’ whose Home Club is not Golf del Sur, will be asked to provide a current handicap certificate from their club. They will be required to play from either the handicap maintained by ‘Golf del Sur Members’ Saturday Club’ or their Home Club, depending upon which is lower.

13.  Committee.

a) The Committee.

i) The ‘Committee’  must have  a maximum of 8 members. It shall consist of             Captain, Vice Captain, Past Captain, Club Secretary, Treasurer, Handicap Secretary, and up to 2 members (8). All positions are open to ‘Members’ of either gender.  The positions of Club Secretary, Treasurer, Handicap Secretary and Committee Member will be appointed annually at the ‘AGM’.

The Captain and Vice Captain must be members of Golf del Sur SA.   The ‘Committee’ has a duty to report back appropriate information to the other Committees of Golf del Sur.

i)i A quorum of four ‘Committee’ members is sufficient to validly hold a committee meeting and decisions will be taken by vote in the event that any proposal is not unanimously accepted. In the event of a tie, the Captain or alternative presiding officer shall have the casting vote.

iii) The ‘Committee’ will at all times represent the ‘Club’. They will fulfil and assist the ‘Rules’ of the ‘Club’ as well as any resolutions adopted by the ‘General Meeting’.

iv) The ‘Committee’ will interpret the ‘Rules’ of the ‘Club’ and in case of doubt, they will decide upon any situation not contemplated herein.

v) The ‘Committee’ will decide upon the ‘Clubs’ competition calendar.

vi) Should any ‘Committee’ member resign or retire during the year in office, the ‘Committee’ at its discretion may co-opt another ‘Member’ to fulfil the vacancy on a temporary basis until the next ‘General Meeting’.

b) The Captain.

i)  The Captain shall preside over all meetings and ‘Presentations’. In the absence of the Captain, the Vice Captain shall preside over all meetings and ‘Presentations’. If neither is in attendance, the ‘Committee’ shall vote to determine the presiding officer. The presiding officer shall have the casting vote in the event of a tie.

ii) It is envisaged that for the purpose of continuity that the incumbent Captain, upon retirement, will serve as a member of the ‘Committee’ for a minimum term of one further year.

ii) The ‘Captains’ Year’ will run from 1st March to the last Friday in February   annually, unless there are special circumstances where the ‘Captains’ Year’ has to be changed by the Committee.

iv) Committee meeting will be held frequently at the request of the Captain.

c) The Vice Captain

i) The Vice Captain shall assist the Captain as required and will automatically become the next Captain upon retirement of the incumbent Captain.

d) The Treasurer

i) The Treasurer will be in control of all ‘Club’ funds, including but not limited to, ‘Annual Membership Fees’, competition entrance fees, donations received, ‘Charitable Donations’ ( by agreement with the ‘Committee’), prizes and any other expenditure.

ii) The Treasurer shall account properly and submit annual accounts for approval at the ‘AGM’.

iii) The Treasurer shall update the ‘Committee’ regularly with monthly accounts and ‘Members’ at the request of the Captain.

e) The Club Secretary

i) The Club Secretary will co-ordinate the posting or distribution of notices, and in conjunction with the Captain and ‘Committee’ notify the enforcement of temporary or permanent ‘Disqualification’ of ‘Members’.

ii) The Club Secretary will be responsible for recording the minutes of all ‘Committee’ meetings and ‘General Meetings’.

f) The Handicap Secretary

i) The Handicap Secretary will co-ordinate all ‘Club’ competitions, and competition rulings as required in conjunction with the Captain and ‘Committee’.

ii) The Handicap Secretary will be responsible for control of ‘Members’ ‘Handicaps’ and liaison with the ‘Spanish Federation’.

iii) The Handicap Secretary will maintain the ‘Members’ website in conjunction      with other ‘Committee’ members.

g)  Committee Members

i)  ‘Committee’ members will assist the Captain and Vice Captain as required.

14. Local Rules

‘Local Rules’ will be agreed by the ‘Committee’, often in conjunction with ‘Golf del Sur’ and will be published.   Temporary  ‘Local Rules’, such as lifting, cleaning and placing the ball in play, will be notified to competitors on the day of competition.

15.  Dissolution

The Dissolution of the ‘Club’ shall be decided at an ‘EGM’ convened for this purpose. A committee comprising of the Captain, Treasurer and two other committee members elected for the purpose by the ‘Committee’ quorum, will dispose of any ‘Club’ assets, after having settled all the ‘Clubs’ debts according to a financial report prepared by the Treasurer and approved by the ‘General Meeting’.
